Welcome to www.feed-boss.com! These Terms of Use describe the terms and conditions applicable to your access to and use of the website, mobile website, mobile applications and other portals owned, operated, branded or provided from time to time by feed-boss.com (which are related to Guangzhou Ranch Treasure E-Commerce Platform, including but not limited to the web and mobile-optimized versions of the website identified by the uniform resource locator "www.feed-boss.com" and the mobile applications of Guangzhou Ranch Treasure E-Commerce Platform, collectively referred to as the "Site"). This document is a legally binding agreement between you, as a user of the Site (hereinafter referred to as "you", "your" or "User"), and the Guangzhou Ranch Treasure contracting entity identified in Article 2.1 below (hereinafter referred to as "we", "our" or "Guangzhou Ranch Treasure").

1. Application and Acceptance of Terms

1.1 Your access to and use of the Site and the services, software and products of Guangzhou Ranch Treasure made available through the Site (such services, software and products are collectively referred to as the "Services") are subject to the terms and conditions contained in this document, as well as the Privacy Policy (as defined in Article 3.3 below), Product Release Policy and any other rules and policies of the Site that Guangzhou Ranch Treasure may issue from time to time. This document and such other rules and policies of the Site are collectively referred to as the "Terms". By accessing and using the Site and Services, you agree to be bound by the Terms. If you do not accept all of the Terms, please do not access or use the Services or the Site.

1.2 You may not access or use the Services or the Site, nor accept the Terms, if: (a) you have not reached the legal age, for example, if you are under 18 years of age in the European Union (EU) and the European Economic Area (EEA) and cannot enter into a binding contract with Guangzhou Ranch Treasure; (b) you are not permitted to receive any Services under the laws of Hong Kong or other countries/regions (including the country/region where you reside or where you access and use the Services and the Site); or (c) you do not use the Site in the capacity of a business entity/professional. You acknowledge that the Site and Services are not intended for consumers.

1.3 Guangzhou Ranch Treasure may modify any of the Terms at any time by posting the revised and restated Terms on the Site. Guangzhou Ranch Treasure will notify you of any material changes to the Terms by posting the changes on the Site. Your continued access to or use of the Services or the Site constitutes your agreement that the revised and restated Terms will apply to you.

1.4 If Guangzhou Ranch Treasure has published or made available a translated version of the English Terms, you agree that such translation is provided for convenience only and that the English version will govern your access to and use of the Services or the Site.

1.5 For any Service (or feature within a Service), you may be required to enter into a separate agreement (each an "Additional Agreement") with Guangzhou Ranch Treasure or our affiliates, either online or offline. In the event of any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall prevail over the Terms with respect to the relevant Service (or relevant feature within the Service).

1.6 The Terms may not be modified except by written consent of an authorized representative of Guangzhou Ranch Treasure.

2. Provision of Services

2.1 If you are a registered member of any Site and are from Mainland China, you are contracting with Guangzhou Ranch Treasure E-Commerce Co., Ltd. If you are a registered member of any Site and (a) you are from outside Mainland China; or (b) you access and use Guangzhou Ranch Treasure Site from any relevant jurisdiction, you are contracting with Guangzhou Ranch Treasure E-Commerce Limited. As some Services may be supported and provided by affiliates of Guangzhou Ranch Treasure, Guangzhou Ranch Treasure may entrust some Services to its affiliates.

"Relevant jurisdictions" refer to the Russian Federation, Belarus, Kazakhstan, Kyrgyzstan.

2.2 You must register as a member on the Site to access and use some of the Services. In addition, Guangzhou Ranch Treasure reserves the right to restrict access to or use of certain Services (or any features within the Services) by paying users without prior notice, or to impose other conditions at Guangzhou Ranch Treasure's sole discretion.

2.3 Services (or any features within the Services) may vary by region and country. No warranty or representation is made as to whether a particular Service, feature or Services, features of the same type and scope are available to Users. Guangzhou Ranch Treasure may, in its sole discretion, restrict, deny or set different levels of access to and use of any Service (or any feature within the Services) for different Users.

2.4 Guangzhou Ranch Treasure may introduce, change, upgrade, impose conditions on, suspend or discontinue any Service (or any feature within the Services) without prior notice, provided that for paid Services, such changes will not materially adversely affect the ability of paying users to enjoy the Service.

2.5 Some Services (or parts of them) may be provided by affiliates of Guangzhou Ranch Treasure on behalf of Guangzhou Ranch Treasure.

2.6 The promotional services provided by Guangzhou Ranch Treasure pursuant to these Terms shall include: 1) Top ranking and sponsor display; 2) Services that directly or indirectly benefit, promote, support the User's business, User's brand, products, stores, logos, trademarks, service marks, User Content (as defined in Article 3.7 of the Terms) and/or derivative works of User Content on software, applications, tools, browser extensions and/or platforms operated and/or controlled by Guangzhou Ranch Treasure ("Guangzhou Ranch Treasure Channels") and/or on software, applications, channels, platforms, websites and/or any other form of media operated and/or controlled by third parties ("Third-Party Channels"); and 3) Any other such services as may be announced by Guangzhou Ranch Treasure from time to time.

Guangzhou Ranch Treasure reserves the right, in its sole discretion, to determine whether the promotional services or any part thereof are available to you.

3. General User Provisions

3.1 As a condition of your access to and use of the Site or Services, you agree to comply with all applicable laws and regulations when accessing or using the Site or Services.

3.2 You agree (a) not to copy, reproduce, download, republish, sell, distribute or resell any information, text, images, graphics, video clips, sounds, directories, files, databases or lists, etc. ("Site Content") on or made available through the Site or Services, and (b) not to copy, reproduce, download, compile or otherwise use any Site Content for the purpose of operating a business competitive with Guangzhou Ranch Treasure or for other commercial purposes by utilizing Site Content. Without the written permission of Guangzhou Ranch Treasure, it is prohibited to retrieve Site Content from the Site's system to directly or indirectly create, compile collections, assemble materials, databases or directories (whether through robots, web crawlers, automated devices or manual processes). It is prohibited to use any content or materials on the Site for any purpose not expressly permitted in the Terms.

3.4 Guangzhou Ranch Treasure may allow users to access content, products or services provided by third-party websites through hyperlinks (in the form of text links, banners, channels, etc.), application programming interfaces (APIs) or other means. Before using the Site, you should carefully read the terms and conditions and/or privacy policies of such websites. You acknowledge that Guangzhou Ranch Treasure has no control over such third-party websites, does not monitor such websites, and is not liable or responsible to anyone for such websites or any content, products or services provided through such websites.

3.5 You agree not to take any action that would compromise the integrity of the computer systems or networks of Guangzhou Ranch Treasure and/or any other user, nor to engage in unauthorized access to such computer systems or networks.

3.6 You agree not to take any action that could undermine the integrity of Guangzhou Ranch Treasure's feedback system, such as leaving positive reviews for yourself using secondary member accounts or through third parties, or leaving unwarranted negative reviews for other users.

3.7 By posting or displaying any logos, trademarks, service marks, brands, descriptions/information in product listings and any other information, content or materials (collectively, "User Content") on the Site, or by providing any User Content to Guangzhou Ranch Treasure and/or its affiliates and their respective representatives, and to the extent permitted by applicable law, you grant to Guangzhou Ranch Treasure and/or its affiliates and their respective representatives an irrevocable, perpetual, worldwide, royalty-free and sublicensable (multi-level) license to display, transmit, distribute, copy, publish, reproduce, adapt, modify, edit, translate, create derivative works from, delete any part thereof (including but not limited to watermarks or marks on User Content) and otherwise use all or part of the User Content in any form, media or technology now known or later developed on the Site, Guangzhou Ranch Treasure Channels and/or Third-Party Channels for any purpose that may directly or indirectly benefit Guangzhou Ranch Treasure, the operation of the Site, the provision of any Services and promotional services and/or the User's business. You confirm and warrant to Guangzhou Ranch Treasure that you have all the rights, power and authority necessary to grant the above license, and that the use of User Content (including derivative works) by Guangzhou Ranch Treasure and/or its affiliates pursuant to this license will not infringe or violate any third-party rights (as defined in Article 5.4 of the Terms). To the maximum extent permitted by law, you waive your right to exercise your intellectual property rights in the User Content against Guangzhou Ranch Treasure and/or its affiliates, assignees or sublicensees with respect to the use of User Content in connection with the Services. Information protected by data protection laws will be used and retained only in accordance with such laws.

4. Member Accounts

4.1 Users must register on the Site to access or use some Services (registered users are also referred to as "Members" below). Except as approved by Guangzhou Ranch Treasure, a user may register only one member account on the Site. If Guangzhou Ranch Treasure has reason to suspect that a user has registered or controls two or more member accounts at the same time, Guangzhou Ranch Treasure may cancel or terminate that user's member account. In addition, Guangzhou Ranch Treasure may reject a user's registration application for any reason.

4.2 After a user registers on the Site, Guangzhou Ranch Treasure will assign an account to each registered user and issue a member ID and password (the password is chosen by the registered user during registration). An account may be equipped with a web-based email account, which provides the member with limited storage space for sending or receiving emails.

4.3 One set of member ID and password corresponds to a unique account. Each member shall be solely responsible for maintaining the confidentiality and security of their member ID and password and for all uses and activities occurring under their account (whether such use or activity is authorized or not). No member may share, transfer or allow others to use their member account, ID or password, even to other persons within the member's business entity (if applicable). Members agree to immediately notify Guangzhou Ranch Treasure upon discovering any unauthorized use of their password or account or any other breach of account security.

4.4 Members agree that all uses of the Site and Services and all activities occurring under the account (including but not limited to posting any company or product information, clicking to accept any additional agreements or rules, subscribing to or paying for any Services, sending emails or text messages using the email account) are deemed to have been authorized by the member.

4.5 Members acknowledge that sharing an account with others or allowing multiple users outside their business entity to use their account (collectively, "Multiple Use") may cause irreparable harm to Guangzhou Ranch Treasure or other users of the Site. Members shall compensate Guangzhou Ranch Treasure, our affiliates, directors, employees, agents and representatives for any loss or damage (including but not limited to loss of profits) suffered as a result of Multiple Use of the account. Members also agree that in the event of Multiple Use of the account or failure to maintain account security, Guangzhou Ranch Treasure shall not be liable for any loss or damage arising from such breach and shall have the right to suspend or terminate the member's account without liability to the member.

5. Member's Responsibilities

Each member represents, warrants and agrees that (a) you have full power and authority to accept the Terms, grant the licenses and authorizations and perform your obligations hereunder; (b) your access to and use of the Site and Services will be solely for commercial purposes; (c) for members that are business entities, you warrant that the relevant information you provide is true and valid.

If at any time you fail to meet any of the above requirements, you shall immediately cease using the Services. If Guangzhou Ranch Treasure reasonably believes that any of your actions violate or may violate any applicable laws and regulations, Guangzhou Ranch Treasure may, in its sole discretion, take such action as it deems appropriate under the circumstances at any time, including but not limited to terminating the provision of Services to you, closing related purchase orders and terminating your account, while retaining all rights it may have against the member for any non-compliant acts or omissions.

6. Transactions Between Buyers and Sellers

6.1 Through the Site, Guangzhou Ranch Treasure provides a web-based electronic platform for the exchange of information between buyers and sellers of products and services. In addition, Guangzhou Ranch Treasure provides members with a web-based electronic trading platform to allow members to place, accept, conclude, manage and fulfill orders for products and services online within the Site in accordance with the terms of the Transaction Service Agreement. However, with respect to any Service, Guangzhou Ranch Treasure acts as neither a seller nor a buyer in specific transactions. Guangzhou Ranch Treasure does not control and is not responsible for the quality, safety, legality or availability of products or services sold on the Site, the seller's ability to complete sales or the buyer's ability to complete purchases.

6.2 Users are hereby reminded that there may be risks in dealing with persons acting under false identities. Guangzhou Ranch Treasure has implemented various technologies to verify the accuracy of certain information provided to us by paying users when they register for paid membership services on the Site. However, due to the difficulty of verifying users on the Internet, Guangzhou Ranch Treasure cannot and does not confirm the claimed identity of each user (including but not limited to paid members). We encourage you to use various means and common sense to evaluate the parties with whom you transact.

6.3 Buyers and sellers accessing or using the Site or Services shall bear the risks associated with any purchase and sale transactions conducted through the Site or Services. Buyers and sellers accessing or using the Site or Services shall also bear full responsibility for any kind of liability or damage risk arising from any subsequent activities related to the products or services transacted on the Site. Examples of such risks shall include but not be limited to misrepresentation of products and services, fraudulent schemes, poor product quality, non-conformity to specifications, defective or dangerous products, illegal products, delay or default in delivery or payment, miscalculations of costs, breach of warranty, breach of contract, transportation accidents, risks that the manufacture, import, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Site may violate or may be claimed to violate third-party rights, and risks that users may incur defense costs or other expenses as a result of third-party claims of third-party rights, or risks arising from any party claiming its right to defend against or be indemnified for rights, claims or demands made by third-party claimants. Examples of such risks also include the risk of claims from consumers, other purchasers, end users of products or other third parties alleging injury or damage resulting from the use of products obtained through the Site or Services. All such risks are collectively referred to as "Transaction Risks". Guangzhou Ranch Treasure shall not be liable or responsible for any damages, claims, liabilities, costs, injuries, inconveniences, business interruptions or expenses that may arise from any Transaction Risks.

6.4 Buyers and sellers on the Site shall be solely responsible for formulating and performing the terms and conditions of transactions conducted through the use of the Site or Services, including but not limited to terms regarding payment, returns, warranties, transportation, insurance, fees, taxes, ownership, licenses, fines, permits, loading and unloading, shipping and storage, while complying with any additional obligations set forth in the Transaction Service Agreement (in particular Article 3.2).

6.5 Users agree to provide all information and materials that Guangzhou Ranch Treasure may reasonably request regarding transactions you conduct through the use of the Site or Services. If a user fails to provide the required information and materials, Guangzhou Ranch Treasure shall have the right to suspend or terminate that user's account and shall not be liable for any loss or damage arising from such suspension or termination.

6.6 If any user has a dispute with any party to a transaction, that user agrees to indemnify and hold harmless Guangzhou Ranch Treasure (and our agents, affiliates, directors, officers and employees) from all claims, demands, lawsuits, legal proceedings, costs, expenses and damages (including but not limited to any actual, special, incidental or consequential damages) arising out of or in connection with such dispute or transaction.

6.7 Sellers represent, and buyers acknowledge, that all content provided by sellers constitutes commercial communications.

7. Limitation of Liability

7.1 To the maximum extent permitted by law, the Services provided by or on the Site are provided "as is", "as available" and "with all faults", and Guangzhou Ranch Treasure hereby expressly excludes any and all express or implied warranties, including but not limited to any warranties as to condition, quality, durability, performance, accuracy, reliability, merchantability or fitness for a particular purpose. All such warranties, representations, conditions and undertakings are hereby excluded.

7.2 To the maximum extent permitted by law, Guangzhou Ranch Treasure makes no representation or warranty as to the validity, accuracy, correctness, reliability, quality, stability, completeness or timeliness of any information provided through the Site; Guangzhou Ranch Treasure does not represent or warrant that the manufacture, import, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Site do not violate any third-party rights; and Guangzhou Ranch Treasure makes no representation or warranty of any kind with respect to any products or services offered or displayed on the Site.

7.3 Any materials downloaded or otherwise obtained through the Site or Services are obtained at each user's own discretion and risk, and each user shall be solely responsible for any damage to their own or Guangzhou Ranch Treasure's computer system or data loss that may result from downloading any such materials. Any advice or information obtained by any user from Guangzhou Ranch Treasure or through or from the Site, whether oral or written, shall not create any warranty not expressly stated herein.

7.4 The Site may offer services or products provided by independent third parties. No warranty or representation is made with respect to such services or products. In no event shall Guangzhou Ranch Treasure or our affiliates be liable for any such services or products.

7.5 Each user hereby agrees to indemnify and hold harmless Guangzhou Ranch Treasure, our affiliates, directors, officers and employees from and against any and all losses, claims, liabilities (including legal fees on a full indemnity basis) arising out of or in connection with that user's access to or use of the Site or Services (including but not limited to the submission, posting or display of that user's information and User Content on the Site, Guangzhou Ranch Treasure Channels or Third-Party Channels under promotional services) or breach of any representations, warranties and terms and conditions hereunder. Each user hereby further agrees to indemnify and hold harmless Guangzhou Ranch Treasure, our affiliates, directors, officers and employees from and against any and all losses, damages, claims, liabilities (including legal fees on a full indemnity basis) arising out of or in connection with any breach by the user of any representations and warranties made to Guangzhou Ranch Treasure (including but not limited to those set forth in Article 5 below).

7.6 Each user hereby further agrees to indemnify and hold harmless Guangzhou Ranch Treasure, our affiliates, directors, officers and employees from and against any and all losses, damages, claims, liabilities (including legal fees on a full indemnity basis) that may directly or indirectly arise from any claims made by third-party claimants or other third parties with respect to User Content, information and/or products offered or displayed on the Site. Each user hereby further agrees that Guangzhou Ranch Treasure shall not be responsible for any materials posted by others (including defamatory, offensive or illegal materials) and shall not be liable to you, and the risk of damage from such materials shall be borne solely by each user. Guangzhou Ranch Treasure reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Guangzhou Ranch Treasure in asserting any available defenses.

7.7 Guangzhou Ranch Treasure shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages (including but not limited to damages in respect of loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort, equity or otherwise, arising out of or in connection with: (a) the use of or inability to use the Site or Services; (b) defects in goods, samples, data, information or services purchased or obtained from users or any other third parties through the Site or Services; (c) violation of third-party rights or claims or demands that the manufacture, import, export, distribution, offer, display, purchase, sale and/or use of products or services provided, displayed, purchased, sold and/or used by users on the Site or through the Services may violate or may be claimed to violate third-party rights; or any party claiming its right to defend against or be indemnified for rights, claims or demands made by third-party claimants; (d) unauthorized access by third parties to any user's data or private information; (e) statements or conduct of any user of the Site or Services; or (f) any matter relating to the Site or Services, however arising, including from negligence.

7.8 Notwithstanding anything to the contrary above, the total cumulative liability of Guangzhou Ranch Treasure, our employees, agents, affiliates, representatives or any person acting on our behalf to each user for all claims arising out of access to or use of the Site or Services in any calendar year shall be limited to the greater of (a) the amount of fees paid by the user to Guangzhou Ranch Treasure in exchange for access to or use of the Site or Services during that calendar year, and (b) the maximum amount permitted by applicable law. The provisions of the previous sentence shall not preclude the user's requirement to prove actual damages. All claims arising out of the use of the Site or Services must be brought within one (1) year from the date the cause of action arose, or within such longer period as provided by the applicable law of the governing provisions.

7.9 The limitations and exclusions of liability to you in the Terms shall apply to the maximum extent permitted by law and shall apply whether or not Guangzhou Ranch Treasure has been advised of or should have been aware of the possibility of any such loss.

8. Force Majeure

8.1 Guangzhou Ranch Treasure shall not be liable for any loss of any nature arising from unavailability, inconvenience or malfunction of the Services or system due to the following reasons, nor shall it pay any compensation:

(i) System shutdown for maintenance;

(ii) Inability to transmit data due to communication terminal or telecommunication equipment failure;

(iii) System failure and inability to perform its functions due to force majeure events (including but not limited to typhoons, earthquakes, tsunamis, floods, power outages, fires, storms, wars, political unrest, labor strikes, labor or material shortages, riots, rebellions, civil commotions, terrorist attacks, explosions, natural disasters, government actions, orders of domestic or foreign courts or tribunals, non-performance by third parties); or (iv) Suspension or delay of Services or system failure due to reasons beyond the reasonable control of Guangzhou Ranch Treasure (such as hacker or cyber attacks, technical adjustments or telecommunications department failures, website upgrades, third-party issues or suspension or interruption of any transportation or business operations in the case of national or regional epidemic spread (including but not limited to delay or interruption of resumption of work or operations ordered by any government agency)).

9. Intellectual Property Rights

9.1 Guangzhou Ranch Treasure is the sole owner or lawful licensee of all rights in the Site and Site Content. The Site and Site Content contain trade secrets and other intellectual property rights protected by copyright laws and other laws worldwide. All ownership, rights and intellectual property rights in the Site and Site Content shall belong to Guangzhou Ranch Treasure, our affiliates or licensors, as the case may be. All rights not otherwise claimed in these Terms are hereby reserved.

9.2 "Guangzhou Ranch Treasure", "FEED-BOSS.COM" and related icons and logos are registered trademarks, trademarks or service marks of Guangzhou Ranch Treasure Group Holdings Limited in various jurisdictions, and "Gold Supplier", "Integrity Pass" and related icons and logos are registered trademarks, trademarks or service marks of Guangzhou Ranch Treasure Limited and its affiliates in various jurisdictions, protected by applicable copyright, trademark and other proprietary rights laws. Unauthorized copying, modification, use or distribution of these marks is prohibited.

9.3 Guangzhou Ranch Treasure may have independent third parties involved in the provision of Guangzhou Ranch Treasure Site or Services (for example, certification and verification service providers). You may not use any trademarks, service marks or logos of such independent third parties without the prior written approval of such third parties.

10. Notices

10.1 Legal Notices

10.1.1 All legal notices or demands to Guangzhou Ranch Treasure shall be in writing and delivered by hand, courier or registered mail to the following entity and address: Guangzhou Ranch Treasure E-Commerce Co., Ltd. (as the case may be), Room 801, Block B, No. 1 Minwang First Street, Nansha District, Guangzhou, Guangdong Province, China, Attention: Guangzhou Ranch Treasure. Notices shall be effective when delivered to Guangzhou Ranch Treasure in the manner described above.

10.1.2 All legal notices or demands to users shall be effective if delivered by: personal delivery, courier, registered mail, fax or email to the user's last known communication, fax or email address provided to Guangzhou Ranch Treasure, or by posting such notices or demands on an area of the Site accessible to the public free of charge. Notices to users shall be deemed received by the user when: (a) Guangzhou Ranch Treasure can prove that the communication has been sent to the user (whether in physical or electronic form), or (b) when Guangzhou Ranch Treasure posts such notice on an area of the Site accessible to the public free of charge.

10.1.3 You agree that all agreements, notices, demands, disclosures and other communications sent to you electronically by Guangzhou Ranch Treasure will satisfy any legal requirement that such communications be in writing.

10.1.4 Content posted by users on the feed-boss.com website is monitored through automated systems and manual reviews. Illegal content will be removed from the Site.

10.1.5 We reserve the right to suspend services to any user who violates the rules set forth in Guangzhou Ranch Treasure's "Rules Center". The decision to suspend services will take into account a number of factors, including but not limited to: (i) the number of obviously illegal contents, the number of notices received or the number of unwarranted complaints within a specific time period; (ii) the relative proportion of these items or notices in the total number of information items provided or notices submitted within the same time period; (iii) the severity of the abuse, including the nature of the illegal content and the consequences of such abuse; (iv) the obvious intent of the user, where the evidence is sufficient.

11. General Provisions

11.1 Subject to any Additional Agreements, these Terms constitute the entire agreement between you and Guangzhou Ranch Treasure with respect to your use of the Site and Services and supersede any prior written or oral agreements on the same subject matter.

11.2 Guangzhou Ranch Treasure and you are independent contracting parties, and these Terms are not intended to and shall not create any agency, partnership, joint venture, employer-employee or franchise relationship.

11.3 If any provision of these Terms is held to be invalid or unenforceable, that provision shall be struck out and the remaining provisions shall remain in full force and effect.

11.4 Headings are for reference only and shall not be used to define, limit, construe or describe the scope or extent of the corresponding provisions.

11.5 Failure by Guangzhou Ranch Treasure to enforce any of its rights or to take action against your breach of these Terms shall not constitute a waiver of that right or a waiver of Guangzhou Ranch Treasure's right to take action against subsequent or similar breaches.

11.6 Guangzhou Ranch Treasure shall have the right to assign these Terms (including all our rights, title, interests, benefits and obligations and duties under the Terms) to any person or entity (including any affiliate of Guangzhou Ranch Treasure). You shall not assign these Terms in whole or in part to any person or entity.

11.7 If you contract with Guangzhou Ranch Treasure E-Commerce Co., Ltd. pursuant to Article 2.1, this Agreement shall be governed by the laws of the People's Republic of China ("China"), and the parties hereto hereby agree to submit disputes to the exclusive jurisdiction of the Basic People's Court of Yuhang District, Hangzhou, China. Without regard to its conflict of laws provisions; the parties hereto hereby agree to submit disputes to the exclusive jurisdiction of Chinese courts, unless otherwise provided by applicable law.
